1. About RemoteRevo

RemoteRevo provides remote talent sourcing, screening, recruitment, and placement services.

Our services may include sourcing candidates, conducting initial screening, preparing candidate shortlists, coordinating introductions, and assisting clients during the recruitment process.

RemoteRevo is a recruitment and placement service provider. Unless expressly agreed otherwise in writing, RemoteRevo is not the employer, co-employer, staffing employer, or day-to-day manager of any candidate introduced to a client.

2. Services

Depending on the service purchased, RemoteRevo may:

• Review a client's hiring requirements
• Source potential candidates
• Conduct initial candidate screening
• Evaluate candidates against agreed role requirements
• Prepare candidate shortlists
• Introduce candidates to clients
• Coordinate interviews
• Provide general onboarding or industry reference materials where included in the applicable service
• Conduct replacement searches where a contractual replacement guarantee applies

The exact scope of services may be specified in an applicable proposal, order, service agreement, or other written agreement between RemoteRevo and the client.

3. Candidate Screening

RemoteRevo may describe candidates as "screened," "vetted," or similar terms.

These terms mean that RemoteRevo has conducted an initial assessment against the role requirements agreed with the client.

They do not constitute a guarantee that:

• A candidate will perform successfully
• A candidate will remain with the client
• A candidate will meet every subjective preference of the client
• A candidate will achieve any particular sales, revenue, productivity, attendance, or performance result
• A candidate is suitable for every aspect of a position

The client remains responsible for conducting any additional interviews, testing, reference checks, background checks, verification, or due diligence it considers appropriate.

4. Client Responsibilities

Clients are responsible for providing accurate and complete information about the role they are seeking to fill.

Clients are also responsible for:

• Providing accurate compensation information
• Clearly communicating working hours and schedules
• Describing required skills and qualifications
• Conducting interviews and final candidate selection
• Making the final hiring or engagement decision
• Providing necessary equipment, systems, software, credentials, and access
• Providing appropriate onboarding and training
• Managing and supervising the candidate after engagement
• Paying the candidate according to the agreed terms
• Complying with applicable employment, contractor, tax, privacy, and other legal obligations

RemoteRevo is not responsible for losses resulting from inaccurate or incomplete information provided by a client.

5. No Employment Relationship

Unless expressly agreed otherwise in writing, RemoteRevo does not employ candidates introduced to clients.

Once a client engages a candidate, the client and candidate are responsible for establishing and maintaining their own employment or independent-contractor relationship.

The client is responsible for determining the appropriate legal classification of the candidate and for complying with applicable laws relating to employment, independent contractors, payroll, taxes, benefits, working conditions, and termination.

RemoteRevo does not provide legal, tax, employment, or immigration advice to clients or candidates.

6. Placement Fees

Placement fees are determined according to the applicable pricing or service agreement.

Unless otherwise agreed in writing, the applicable placement fee becomes due when the client extends an offer or engagement to a candidate introduced by RemoteRevo and must be paid before the candidate's start date.

Placement fees are non-refundable once paid.

Any replacement rights are governed exclusively by the applicable replacement guarantee and do not create a right to a cash refund.

7. Replacement Guarantee

Where a client has purchased or received a replacement guarantee, the guarantee is subject to the specific terms and exclusions contained in the applicable agreement.

Unless otherwise stated in writing, the replacement guarantee provides a replacement-search service rather than a refund of the placement fee.

RemoteRevo's obligations under a replacement guarantee are limited to conducting a replacement search in accordance with the applicable guarantee.

8. No Guarantee of Employment or Performance

RemoteRevo does not guarantee that:

• A client will hire a candidate
• A candidate will accept an offer
• A candidate will remain with a client
• A candidate will achieve a particular level of performance
• A candidate will generate a particular amount of revenue
• A position will produce any particular business result

The client makes the final decision regarding whether to hire or engage any candidate.

9. Candidate Introductions and Non-Circumvention

A candidate introduced by RemoteRevo is considered a RemoteRevo-introduced candidate.

Unless otherwise agreed in writing, if a client or its affiliate, subsidiary, intermediary, or related entity hires, engages, contracts with, or otherwise obtains services from a RemoteRevo-introduced candidate outside of RemoteRevo within the applicable protection period, the client may be responsible for the applicable placement fee.

The specific protection period and applicable fee are governed by the client's applicable service agreement.

10. Website Use

You agree not to use our website or services to:

• Violate applicable laws or regulations
• Submit fraudulent or misleading information
• Attempt to gain unauthorized access to our systems
• Interfere with website functionality or security
• Introduce malicious code or software
• Scrape or systematically collect information without permission
• Misuse candidate or client information
• Impersonate another person or organization
• Use our services for unlawful or fraudulent purposes

We reserve the right to restrict or terminate access where we reasonably believe these Terms have been violated.

11. Intellectual Property

Unless otherwise stated, the RemoteRevo website, branding, logos, text, graphics, designs, processes, templates, and other original materials are owned by or licensed to RemoteRevo.

You may not reproduce, modify, distribute, sell, publish, or commercially exploit our materials without our prior written permission, except where permitted by applicable law.

Client-specific materials provided by a client remain the property of the client, subject to any rights necessary for RemoteRevo to provide its services.

12. Confidentiality

Each party may receive confidential information belonging to the other party.

Each party agrees to use reasonable care to protect confidential information and to use it only for purposes connected with the relevant business relationship.

Confidentiality obligations do not apply to information that:

• Is publicly available without breach of these Terms
• Was already lawfully known by the receiving party
• Is independently developed without use of confidential information
• Is lawfully obtained from another source without a confidentiality obligation
• Must be disclosed by law or valid legal process

13. Candidate and Personal Information

Clients and candidates may receive access to personal information belonging to other individuals.

Such information must be used only for legitimate recruitment, employment, contractor, or business purposes and handled in accordance with applicable privacy and data-protection laws.

Clients must not sell, misuse, or unnecessarily disclose candidate information provided through RemoteRevo.

14. Third-Party Services

RemoteRevo may use third-party platforms and service providers to operate portions of our business.

We do not guarantee the availability, security, functionality, or performance of third-party services that are outside our reasonable control.

Your use of third-party services may also be subject to their own terms and privacy policies.

15. Disclaimers

To the maximum extent permitted by applicable law, RemoteRevo provides its website and general website content on an "as available" basis.

We do not guarantee that:

• The website will always be available
• The website will be error-free
• Information on the website will always be complete or current
• The website will be free from security vulnerabilities or interruptions

Nothing in these Terms excludes or limits any liability that cannot legally be excluded or limited.

16. Limitation of Liability

To the maximum extent permitted by applicable law, RemoteRevo will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business opportunities, data, goodwill, or anticipated savings arising from or related to the use of our website or services.

For paid recruitment services, RemoteRevo's aggregate liability will be limited to the placement fees actually paid to RemoteRevo for the specific placement giving rise to the claim, except to the extent such limitation is prohibited by applicable law.

17. Indemnification

To the maximum extent permitted by applicable law, you agree to indemnify and hold RemoteRevo harmless from claims, liabilities, losses, damages, costs, and expenses arising from:

• Your violation of these Terms
• Your unlawful use of our website or services
• Your misuse of candidate or client information
• Your breach of applicable law
• Information or materials you provide to RemoteRevo that infringe the rights of another person

This provision does not apply to the extent a claim results from RemoteRevo's own unlawful conduct or liability that cannot legally be transferred.

18. Termination

RemoteRevo may suspend or terminate access to the website or services where reasonably necessary, including where a user breaches these Terms, engages in unlawful conduct, or creates a security or legal risk.

Termination does not affect rights or obligations that accrued before termination.

Any provisions that by their nature should survive termination will continue to apply, including provisions concerning confidentiality, intellectual property, payment obligations, liability, and non-circumvention.

19. Changes to These Terms

We may update these Terms from time to time.

Updated Terms will be posted on this page with a revised "Last Updated" date.

Your continued use of the website or services after the updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by law.

20. Governing Law and Disputes

22. Entire Agreement

These Terms govern general use of the RemoteRevo website and services.

Where a client has entered into a separate written service agreement with RemoteRevo, that agreement will govern the specific commercial relationship and will control over these Terms to the extent of any conflict.
